Public Offer Agreement

General Provisions

1.1. This public offer is the official proposal by EcoHuman (the "Seller") to enter into a distance sales contract (the "Contract") through the online store, published on the Seller's official website.

1.2. The Buyer's full acceptance of this offer occurs upon payment for an order under the terms of this Contract, within the specified timeframes and at the prices listed on the Seller's website.

Terms and Definitions

2.1. Unless otherwise required by context, the following terms have these meanings:

• Product: Items, accessories, components, and related goods.
• Online Store: A platform for presenting or selling goods, works, or services via electronic transactions, as defined by the Law of Ukraine "On Electronic Commerce."
• Seller: The company offering goods for sale on the website.
• Buyer: An individual entering into this Contract with the Seller under the terms below.
• Order: The Buyer's selection of specific items from the available goods, followed by payment.

Subject of the Contract

3.1. The Seller agrees to transfer the Product to the Buyer, and the Buyer agrees to pay for and accept the Product under the terms of this Contract.

3.2. This Contract governs the purchase and sale of goods in the Online Store, including:

• Voluntary selection of goods by the Buyer in the Online Store.
• Independent order placement by the Buyer in the Online Store.
• Payment for the order by the Buyer.
• Processing and delivery of the order to the Buyer per this Contract.

Order Placement Process

4.1. The Buyer may order any available product listed on the website.

4.2. Products can be ordered in any quantity, subject to availability.

4.3. If a product is unavailable, the Seller's manager will notify the Buyer via phone or email.

4.4. The Buyer may replace the product, choose a similar item, or cancel the order.

Cash on Delivery Payment

5.1. Payment is made in cash (hryvnias) upon receipt at the transport company’s branch.

5.2. If payment is not received, the Online Store reserves the right to cancel the order.

Order Delivery Terms

6.1. Goods are delivered to transport company branches where the Buyer can collect their order.

6.2. Due to regulatory restrictions, certain products cannot be shipped to specific countries or regions. If an order includes prohibited items, the Seller may, at its discretion, remove those items or cancel the order entirely. The Buyer is responsible for ensuring compliance with local import regulations. The Seller prioritizes adherence to all applicable international, national, and local laws.

Rights and Obligations

7.1. The Seller may unilaterally terminate services under this Contract if the Buyer violates its terms.

7.3. The Buyer has the right to:

• Place an order in the Online Store.
• Enter into an electronic contract.
• Demand that the Seller fulfills the terms of this Contract.

Liability

8.1. Both parties are liable for failure or improper performance of this Contract per Ukrainian law.

8.2. The Seller is not liable for:

• Changes to the Product’s appearance by the manufacturer.
• Minor color variations due to monitor display differences.
• Inaccuracies in information provided by the Buyer during order placement.
• Service delays or interruptions caused by factors beyond the Seller’s control.
• Illegal actions by the Buyer using Internet access.
• The Buyer sharing access credentials with third parties.

8.3. The Buyer is responsible for actions taken using their Internet access and for any damage caused to others or their property.

8.4. In cases of force majeure (extraordinary, unavoidable events), both parties are exempt from fulfilling this Contract.

8.5. The parties will strive to resolve disputes through negotiation.

Other Conditions

9.1. The Online Store may amend this Contract unilaterally with prior publication on the website.

9.2. The Online Store facilitates remote sales of goods via the Internet.

9.3. The Buyer is responsible for the accuracy of order information. By paying for an order, the Buyer consents to the processing of their personal data per the Law of Ukraine "On Personal Data Protection."

9.4. Payment for an order signifies full acceptance of this Contract’s terms.

9.5. The electronic contract is effective from the date of acceptance per Article 11 of the Law of Ukraine "On Electronic Commerce."

9.6. Using the Online Store to browse products or place orders is free for the Buyer.

9.7. Buyer information is confidential and used solely for order processing, notifications, delivery, and payments.

Returning Products in Good Condition

10.1. Returns are processed in accordance with Ukrainian law.

10.2. The Buyer bears the cost of returning products.

10.3. For returns of products in good condition, the Online Store refunds the paid amount, excluding delivery costs.

Privacy Policy

11.1. All Buyer information is confidential.

11.2. The EcoHuman Online Store uses Buyer information solely for site operations, such as order notifications and promotional messages.

11.3. By accepting this Contract or registering on the Site, the Buyer consents to the collection, processing, and transfer of their personal data in the Seller’s database per the Law of Ukraine "On Personal Data Protection" for purposes including:

• Processing orders, providing order updates, and sending advertisements or special offers via email, SMS, or other communication channels about promotions, contests, or store activities.

11.4. The Seller may send letters, messages, or materials to the Buyer’s postal address, email, or phone number for these purposes.

11.5. The Buyer authorizes the Seller to:

• Store, accumulate, update, and modify personal data in the Seller’s databases without further notification.

11.6. The Seller commits to protecting data from unauthorized access and will not share or transfer data to third parties, except to related parties, commercial partners, authorized processors, or as required by law.

11.7. To opt out of promotional communications, the Buyer may contact the Seller at [email protected] to request removal.

11.8. To delete an account, the Buyer may do so via their personal account or contact the Seller in writing or verbally.

Contract Duration

12.1. The electronic contract is effective from the moment of acceptance per Article 11, Part 6 of the Law of Ukraine "On Electronic Commerce."

12.2. This Contract may be terminated by mutual agreement before delivery, with a refund issued.

12.3. Either party may terminate this Contract unilaterally if the other party fails to meet its terms or as permitted by Ukrainian law.
